contract or agreement for royalty payment

 Dear all,

I have to draft an agreement with a media portal for buying the concept or idea of a programme from the originator (person who developed and created the concept) and in turn, he would be paid as a royalty on airing each episode of the same in the media portal.

I request you to help me by giving or suggesting some important clauses which will safeguard the originator interest, to be included in the agreement.

I would be happy if you can kindly spare your valuable time in this regard.

YOU MAY PLS. KEEP IN MIND THE FOLLOWING POINTS :-

1.  CONFIDENTIALITY CLAUSE

 2.  NO FIXED ROYALTY . SHOULD BE BASED ON  THE REVENUE . NO REVENUE , NO ROYALTY .

3.   INDEMNITY CLAUSE  - SHOULD INDEMNIFY IF THIRD PARTY CLAIMS ON YOU FOR MATTERS RELATED TO THE PORTAL .

 4.    TENURE SHOULD BE FIXED . ALSO FIX THE TENURE FOR THE ROYALTY .

   5.   WILL NOT LEND THE PORTAL TO SOMEBODY ELSE . U WILL ALWAYS HAVE THE FIRST RIGHT TO REFUSE .

    6.   THERE SHOULS ALWAYS BE SOME MECHANISM FOR DISPUTE RESOLUTION .
