Gift of immovable property from company to director

My fathr and I are diectors of a company. An office stands in name of the company. Can a resolution be passed by the company to gift the office in my favour (in personal capacity)? Will the shareholders have to vote on this resolution? Will it be required to show consideration? What will be the stamp duty and registration fees? What will be tax implications of such gift? (The office is in Mumbai, Maharashtra)

I think the Company can afford Lawyer's fee in obtaining a proper legal opinion.  Better do that.
