Rotational director

I have a question regarding rotational director.

 

Suppose A, B, C are 3 directors. A got rotational retired last year. D & E are appointed are appointed as Director. B & C got resigned. Now my question is-

A being the oldest should be retired. But can he be liable to retire this year as he got retired last year as well..

Dear Concern,

The situation posted by you requires lots of facts to get on to  the decision, whether it would be righful to retire Mr. A or not.

 

  1. Did Mr. A was reappointed after his rotational retirement in the same meeting ?
  2. Did Mr. D and Mr. E are appointed as Director in the same meeting in which Mr. A got retired or they have been appointed in place of Mr. B and Mr. C, who had resigned subsequently?

for the right answer you need to clarify the above mentioned points.

Further for ready reference you can go through the provisions of Section 256 (2), of Company Act, 1956 in this regard.
