changes in memorandum

its a pvt .ltd. co., there was three director in 1982 out of which one partner retires in 2006 and two family members join as a director so now is it possible to reprint the memorandum? plz rply soon

no need to repront the memorandum it is enouhg if you notify the registrat of companies under the prescribed from about the changes effected.

Here you need not alter MOA as one Director has resigned you need to File Form 32 for his resignation and another form 32 for the appointment of two new persons if this event has taken place simoultinously then you can file only one form 32 for resignation of one person & appointment of 2 persons also ensure that two new persons has DIN No without which you cannot appoint them as Directors

It is not at all an alteration of the MOA. hence the memo need not be reprinted.
