Apartment association membership

We are forming an apartment association. 

Some of the owners are not willing to become the members of the association.

What rights will they lose and what will they gain by not becoming a member?

What are the repurcursions and what precautions need to be taken by the association?

What should be the clauses in the bye-law to address any situations that arise out the disputes created by such flat owners?

if they do not become the member of the apartment association then they need to pay all their taxes directly, they shall not be provided NOC and or other required letters, if any required for passport issuance etc. selling of flats would be difficult and latter on when they want to take membership then the association may charge them for the membership as per the bye laws.
