Duties of director

Can anyone tell the differce betwwen the two cases--

cranleigh precision engineering v bryant  where the x director was liable for to start new business bcz after resigning from directorship, formed a company with another person and emabrked upon a manufacturing product which embodied his own earlier invention made by him while working for the comapny 

 

and in British midland v midland international  tooling ltd where the x director was not held liable and it was held that the manging director was perfectly free to proceed to set up a company of his own.
