How to negotiate on terms of agreement

during the process of finalising agreement with the other party, it was noticed that the agreement forwarded by them has many clauses which are not in the interest of us or may be favouring to other party too much.

can any one share your experiese or tips for negotiation with other party

Respond the other party with your own terms by compring with their terms, if they dont agree back out from the finalisation of the agreement.

Any advice can be given only after reading of the present agreement and after briefing with the parties.

You should appoint a lawyer for better negotiation on your part. There may be many clauses which can not be understandable by a layman, but they can play an important role in future. So appoint a lawyer to be safe.
