land property sold by managing director

Our company is private limited company without knowledge of the chairman of the company and others the managing director sold the land property to others.  since purchase of the land we donot used that land but now we are going to develop the land they are objecting the land was sold by the company's managing director.  Main points in this matter is 1. company not held meeting and passed resolution for the sale the subject land. 2. The said managing director is died. 3.Still property tax is paying by the company.

Please give reply as early as possible.  In our company this issue running very hot.

Without resolution in i  AGM or extera ordinary meeting of shareholders and the minuts of the meeting should be acknowledeed by ROC .if it is not so the saledeed is null and void.where the property is located for more advice call or contact with papers.

If the MD was empowered by the rules of the company to sell the property then the sale would be vallid.only when there is no rule empowering the MD to do so the question of extra ordinary Gm being convened would arise. So the scruiny of the rules of the company is important.
