Power of attorney holder rights in affairs of chs.

I am the secretary of CHS in Navi Mumbai Maharashtra. The Society has commercial and residential tenements.

The shop owners want to give a non-member  power of attorney and engage him for managing the disputes with the Society.

Is this valid and legal?

Is the Power of attorney holder empowered to act on behalf of a group of members of a co-op housing society?

Should the society engage a non-member and correspond with him?

"As per co-op by-law Section 105 "No proxy holder or a holder of power of attorney or a letter of authority shall be eligible to attend a general body meeting of the society on behalf of a member of Society."
