Proxy can act as a chairman

Can someone please advice if a proxy can act as a chairman in an Annual General Meeting in case of a private limited company? And since the minimum quorum is 2 members and both are duly appointed proxies of the original member

In an AGM a proxy shall not have a right to speak. If he doesnt have a right to speak how it can be appointed as an Chairman of the meeting.

Proxy shall not be counted for quorum.
