Representation

Sir,

Who can represent a company?  I understand that by Board Resolution any Directors can represent the Company.  Whether by such Board Resoltion an officer of the company can be authorised to represent the company or there should be a power of attorney executed?  Please clarify with provision in the Companies Act and Citations.

You need the Board Resolution for the proper representation. .
