Terms of Fraud for an international contract

If there has been a contract established and a pvt. ltd. company delivers a service and the other party who is not India, claims fraud, but the payment wasn't made to the fullest or directly, are the grounds OK for the other international party to claim fraud?

Two parties- Party A[non-indian and no local presense], entered into a contract, and one of the parties - Party B[Indian based ],Party A based is claiming that the terms of the contract were not made and are claiming fraud, the other party, Party B, is ready to provide a full refund for whatever was charged to Part A. What are the legal options Party B has if Part A initiates legal proceedings? What is the process for the said legal proceedings to be set in motion by Party A with respect to hiring a Legal councel here in India?
