Can AGM held at city other than HQ

Dear friends,

Can Annual General Meeting of a company can be held regularly in a city other than having Head Quarter regularly.

There is no such mandate that the AGM of a company cannot be held in the same city consecutively for 2 or more years.

But it can be held other than a city of HQ. Do any permission required for it?

Dear Mr. Shiv,

Pursuant to section 166(2) of the Companies Act, 1956 it is mandatory to hold AGM of a company either at the registered office or at some other place with in the local limits; however proviso to the subsection states that the central govt may exempt any class of compaies from provisions of the subsection subject to conditions it may impose.

section 166(2) of the Companies Act, 1956 it is mandatory to hold AGM of a company either at the registered office or at some other place with in the local limits;HOWEVER A SPECIAL PERMISSION OR REQUEST MUST BE MADE TO ROC/CONCERN AUTHORITIES FOR CHANGE OF PLACE OTHER THAN HQ/REGD OF/ETC.,FOR AGM

but we must keep in mind that if its a pvt co, then AoA may provide place otherwise than the registered office. in the case of pub. co we can ask fr a permission frm the misitry of corporate affairs fr the same.
