Here are the key compliances and declarations that an Indian company providing IT services to foreign entities should be aware of:

1. **Foreign Exchange Management Act (FEMA) Compliance**:
   - Ensure all foreign exchange transactions comply with FEMA regulations.
   - File the necessary forms and declarations with the Reserve Bank of India (RBI) for inward remittances.

2. **Goods and Services Tax (GST)**:
   - Register for GST if not already registered.
   - Issue GST-compliant invoices for services provided.
   - File regular GST returns and pay any applicable taxes.

3. **Income Tax Compliance**:
   - Report all foreign income in the company's income tax returns.
   - Deduct and deposit any applicable withholding taxes on payments made to foreign entities.

4. **Transfer Pricing Regulations**:
   - Maintain proper documentation for transfer pricing if transactions with related foreign entities are involved.
   - Ensure that the pricing of services provided to foreign entities is at arm's length.

5. **Annual Filings with the Ministry of Corporate Affairs (MCA)**:
   - File annual returns and financial statements with the MCA.
   - Ensure compliance with the Companies Act, 2013.

6. **Service Export Reporting**:
   - Report the export of services to the Directorate General of Foreign Trade (DGFT) if required.
   - Maintain proper documentation for all service exports.

7. **Contractual Obligations**:
   - Ensure that all Master Service Agreements (MSAs) and contracts with foreign entities are legally compliant and enforceable.
   - Keep records of all contracts and agreements.

8. **Data Protection and Privacy Laws**:
   - Comply with data protection and privacy laws, both in India and in the countries where the foreign clients are located.
   - Implement necessary data security measures.

9. **Intellectual Property Rights (IPR)**:
   - Protect any intellectual property created or used in the course of providing IT services.
   - Ensure compliance with IPR laws in India and the foreign clients' countries.

10. **Other Regulatory Compliances**:
    - Stay updated with any other regulatory requirements specific to the IT industry or the countries where the foreign clients are located.

It's advisable to consult with legal and financial experts to ensure full compliance with all applicable laws and regulations.
