MCA Notifications

Ministry of Corporate Affairs on 5^th March, 2010 framed Companies (Central Government's) General Rules and Forms (Second Amendment), 2010. These rules will come into force on 14^th March, 2010.

Rule 20G has been inserted to provide for:

1.      An application for rectification of mistakes made while filing Form No.1, Form No. 1A and Form No. 44 electronically, on the Ministry's website, shall be made to the Registrar of Companies in Form No. 68.

2.      Such application shall be accompanied by fee Rs. 1000 for rectification of mistakes in Form No. 1 and Form No.1A and Rs. 10,000 for rectification of mistakes in Form No. 44 respectively;

3.      Such an application shall be made within 365 days.

4.      The mistakes shall be approved within 60 days of filing such application.

5.      The rectification of mistakes shall be allowed only once in respect of one company

6.      This provision is also applicable for the above forms filed and approved before 14^th March 2010.

New form 32 will be effective from 14.03.2010

Highlights of the changes in the New Form 32


1. New form 32 has added point no. 8,9,10 in addition to the existing points which will enable us to File Form 32 for the Managing Director, Director(s) who ceased to be associated with the company on or before 31st October, 2006 and donot have DIN.

2.In the verification para point no. 2 is added which confirms that the appointed director(s) has given a declaration in writing to the company that he/she is in compliance with section 203, 274 and 388E of the companies Act, 1956.
