A foreing company in the business of software development would like to get the development done through indian companies through it subsidiary. What are the clauses to be incorporated in the agreement between the indian subsidiary and the development companies to enable the subsidiary to exercise more control on the cost, resource and deliverables including time schedule. Anyone can share any model agreement?
