Authorization by company

Whether the Board of Directors can pass resolution (not a Power of Attorney) authorizing one of its Officer to represent the company?  OR whether such authorization should be only way of a Power of Attorney executed by one of the Directors backed by a Resolution?

Both has to be passed. First a board resolution, resolving that such a person shall be given the said authorization & there after a power of Atorney has to be executed in his favor. A Board Resolution shows the intention of he board but after that the company has to execute a power of attorney (special or general) in that person's favor. Such Power Of Attorney needs to signed by one of the directors of the company
