If it is partnership firm, you have to follow the partnership act.  If it is Co., then you have to amend the articles of association by passing a resolution

In the case of organisations registered under the Societies Registration Act or that of a Co-operative Society under the Co-operative Societies Act, the Constitution or the byelaws themselves will say how they can be amended. All amendments shall however be subject to approval of the Charity Commissioner or the Registrar of Co-operative Societies, as the case may be.
