Number of directors in a company

 Is there any minimum number of directors that a company has to appoint?

Dear Haninullah:

Section 252 reads as follows:

MINIMUM NUMBER OF DIRECTORS.

(1) Every public company (other than a public company which has become such by virtue of

section 43(A) shall have at least three directors.

(2) Every other company shall have at least two directors.

(3) The directors of a company collectively are referred to in this Act as the "Board of directors" or "Board".

As per Companies Act,

Private Companies

Minimum Two, Maximum 12

Public Companies

Minimum Three, Maximum 12

As per Companies Act,1956 ,

Private Company

Minimum two

No limit on maximum number of directors that can be appointed ( section 259 )

Public Company

Minimum three

Maximum twelve ( section 259 says that number of directors can be increased beyond twelve by permission of central government )

Private Company that is a subsidiary of a Public Company

Minimum two

Maximum twelve ( section 259 says that number of directors can be increased beyond twelve by permission of central government )
