Normally honorary member who renders service to an organisation/company do not charge full professional /consulting fee. But since s/he gives time and expertise, it is expected that s/he should be offered a respectable honorarium unless ofcourse, s/he is ready to give voluntary time without any honorarium. Since it is a for profit company, it is but fair to offer an honorarium to the services rendered by this honorary member. Here is is important to distinguish between an honorarium and a full consulting feee.

The amount paid would be honorarium, fixed at the time of the appointment or he can be paid way of expenses/allowarances, etc.

THANKS FOR OPINION....
There are two Honorary legal advisers appointed by executive committee. Appointment is for one year without any clarification even on out of pocket expenses. While accepting honorary appointment even both legal advisers did not mention about out of pocket expenses. one legal adviser do not charge any expense to the institution, but the other HONORARY ADVISER has raised 3 PROFESSIONAL CHARGES BILL FOR INR 4,77,000.00. The Service offering ltd.Company is Subsidized Sports encouraging organization. Is it ETHICAL/Legal for such Lawyers firm to charge such Professional charges when subsidized sports company is in NET LOSS of more than INR 45 LACS ????

If nothing is mentioned in the Terms of Reference, the company is not bound to pay. Normally, the terms of reference mentions honorarium amount and other allowances like travel etc. for the honorary members.It is a rediculous amount that your legal adviser has raised, in my opinion. Since TOR does not mention the amount, I think you need not pay the amount which he is asking.

Unfotunaly payment is already made as all office bearers under his influance. laid down formalities for approval of his proffessional bills are not followed. He acts as DEFACTO owner of the institution.
