Settlement is a final decision reduced in writing.

The agreement is mutual understanding for certain clauses before finalizing that settlement/contract.

A settlement in some cases effects transfer of right title and interest in immovable property. Ex. Family arrangement or settlement. Registration of the document is compulsory. MOU is only a record of understanding reached between parties setting out the mode of putting through a transaction or pre- transaction obligations or compliance to be satisfied by the concerned parties. MOY by itself does not effect transfer of interest in immovable property.
