Partnership registration

Dear Members,

please advise me in the following case:-

three persons have entered into the partnership agreement in the month of junuary 2011 and the partnership deed not registered with the registrar but all other required statutory approvals have been taken for carrying out business. unfortunately one of the partner has expired and now rest of the two partners want to register the partnership deed with registrar by amending the old agreement.

Questions:-

1. whether the registrar register the firm?

2. If we two partners enters the new agreement and register it then what abt statutory approvals already obtained in the name of the old three partners?
