Partnership to private limited

if a lease land allotted by Athority in Uttar pradesh to a partnership firm having 4 partner... lease deed and higher purchase agreemnt of that lease land was registerd in sub registrar office by signature of all four partner...after some time that partnership firm informed to Athority that now partnership firm was converted into private limited company having same 4 partner as a director in newly establish private limited company and company take over all the assets of that partnership firm...... 1.i just want to know that after change into private limited company from partnership firm Is there any new transfer agreement execution needed in sub-registrar office ? 2 now company want to transfer that land to prop. firm.... who is having legal right to transfer that lease land mean Directores of Company or original allottee 4 partner of partnership firm ? what is the legal proccess of doing that transfer.. plz give me legal view about this critical case...

For this all querry kindly see the conversion agreement made between them and if the terms in that agreement deal with lease of said land and if it strictly says that all previous contracts made by partneship firm is binding on newly formed private co. then in that case you kindly ask for a letter from them in this regard which is more than sufficient for you to continue rather than executing a new deed.
