Penalty in foreclsoure of contracts

The contract of coal transportation was for 3 years. The management decides to foreclose the contract after 2 years of execution. Whether, the shortfall penalty is applicable in this 2 years of work period? It is quite clear that no penalty will be imposed on the remaining one year of work period.

Mishra ji imposation of penalty if mentioned in agreement then only it apploicable other wise not.
