Mrs.Ankitha has been designated as Women Director & Resident Director in the ABC ltd listed company.Further she has been elected as Small Shareholders Director u/s 151 assuming she fulfills s.149(6) criteria for independence.

After completion of her tenure u/s 151 as SSD Whether she can continue as women director in the same company?

1.Please  provide me a certified copy of the order/notification/circular regulation that the eligibility condition of reappointing of same as women director after her  tenure as Small Shareholder Director u/s of 151

 A listed company may have one director elected by such small shareholders in such manner and with such terms and conditions as may be prescribed.

Tenure of such director shall not exceed 3 consecutive years ;and

On the expiry of the tenure, such director shall not be eligible for re-appointment.

As per section 162 a separate resolution at  general meeting has to be passed  for appointment for every director.
