Plz let me know whether casual vacancy caused by Resignation of Auditor can b filled in at EGM by Ordinary Resolution in Private Company?

Hi Nirav,

Yes. As per Section 224(6) of the Companies Act, 1956 casual vacancy caused by Resignation of Auditor can only be filled in a General Meeting.

Such C.V. may be filled by passing Ordinary Resolution in Private/Public Company.

Special Resolution in case of appointment of auditor is required only when Section 224A is applicable.

so in this case Company is not required to any form (Form 23) at RoC, right?

Yes in case of filling up of casual vacancy no need to file any form with ROC.
