When and who can file a winding up petition before NCLT ?

I am looking for information on the following aspects :

1. When can a winding up petition be filed before National Company Law Tribunal ?

2. Who can file this petition ?

3. What are the pitfalls in doing so ? Please do tell if there are any ?
