Stamp Duty on issue of Debetures in Dematerialised Form

Dear all,
 
Does a Company issuing Debentures directly in Dematerialised form needs to pay Stamp Duty?

Yes, the Issuer has to pay the relevant stamp duty as applicable irrespective whether it is issued in either physical or demat form. As per the Finance Act 2000, stamp duty is waived only for transfers within the depository.

Yes. One debenture certificate maybe printed, indicating the total number of debentures to be issued and the proportionate stamp duty applicable has to be franked on this certificate, E stamping is done by StockHolding Corporation's e-services.
