According to http://www.colorado.edu/engineering/civil/db/DBS/glossary.cgi?word=Governing+Law Governing Law is "The body of law of a particular jurisdiction which governs the rights and responsibilities of parties in a given situation. Within limits parties may, by contract, choose which jurisdiction's law will govern matters related to contract formation, interpretation, and enforceability" Procedural law comprises the rules by which any court hears and determines what happens in civil or criminal proceedings.
