Poa to employee for representing company

A company has to give "Power of Attorney" to one of its employee for authorising him to represent the company in a tendering/bidding process and signing of contract agreement with client.

Q. Do all directors of the compnay need to sign the said Power of Attorney

If the authorisation is through a board of directors meeting, then certified copy of board resolution to be provided. This can be certified by any director.

In case of  POA the same may be noted in a board meeting, authorise some director in the same meeting to grant the power to an officer of the company and such power has to be granted through a properly stamped document.

Dear Mr. Pavan thanks for your reply.

A Wth following shall a POA be a legally valid document ?

1. There are 3 directors in company.

2. POA was granted on stamped document by One director only.

3 There is no board resolution regarding authorisation

4. It was not noted in any BOD meeting and no director was authorised to grant the power to an officer of the company.

 

B. Directors of company are family members, what are the chances that they will produce backdated Board resoultion and/or BOD minutes.
