How to select legal jurisdiction

hi,

this is a query how to select a legal jurisdiction for disputes

ours is a registered company under the companies act and having registered office in delhi and branches in Noida & Bangalore. all our billing, keeping books of accounts, tax registration like sales tax, service tax, income tax and all other registration are at our registered office location only.....ie, Delhi.

Now we have sold one product to a client located at bangalore. first we issed quote and after getting PO from the party we have soled the product to them. and in all quotes and Invoices we quote "Disputes subject to Delhi Jurisdiction only". Now the party denied the payment by saying that the product is not suitable. we have sent a legal notice to them. and reply to the notice thay claim that the Jurisdiction should be Bagalore only as we have a branch at Bagalore. but we mentioned on all quotes and invoices that the disputes at delhi jurisdiction only.

could you please advice if any legal ground to the claim by the party that the Jurisdiction should ne at Bangalore only due to the mere fact that we have a branch at Bagalore.

If you have quoted the jurisdictional area in your invoices and other quotes as Delhi, you can initiate all the legal actions within Delhi alone.
