Always trust local Advocate, who has drafted such agreements and let him draft the agreement as he is more coversant with local laws.

But you rarely find a good learned Advocate here in, as previously an agreement was made by advocate which had no safe guards for the licensor and thereby had to suffer a great financial loss with no meaning to rent out the property.

Force Majoure : clause states that if the business is not doing well , the license shall be free to quit the agreement without paying any licence fees. Same applicable during lock- in period.
