DEAR EXPERTS,
One of my friend having pvt ltd company in hyderbad started in 2010 march .The company consits of two directors
.one is my friend acting as a Managing Director and another person acting as Executive Director with equal
Shares (50-50) . still they run the company in formal way . they did'nt pass any resolution for my friend as '
Managing Director' but my friend as Authorizing signature as Managing Director in all necerrany form 's and
bank tractions.' is it valid ?if 'it is not valid what should we do now ?.now the Executive Director want quit the
company due to his personal reasons . and one person intersted to enter in to the company . kindly let me know
the process .if my friend will rsign before the the Executive Director excit .what happened .will the company will
dissolve ,in case the new person is not enterd ?is there any termination method to trminate
the Executive Director
