Non Transfer/transmission of Shares in private limited co

Dear Sir,

My mother passed away after writing a registered will in my favour for the shares she held in a Private ltd company. But When I submitted the will and asked the company to transfer they are saying they cannnot do it citing that I should obtain a NOC from my brother eventhough the registered will is very clear..
Now the company is trying to sell of its assets and close down.
1.I am worried that I will not get my mothers shares/deposits transfered in my name and the companies other directors will siphone of the money because they conducted an egm to sell the assets
2. I am also worried that the company is not properly responding to my letters.

Now how do I protect my interest? Can I take a stay from HC for not selling the assets of the company still the transfer is complete? and can the HC appoint some one to sell the assets and distribute it fairly among the shareholders?

Please indicate where you are located and where is the company located.
Please also indicate do you fear that your brother may not give consent or rather he would object to the WILL left by your mother?
