W/O Subscribition to the MOA ,the acquisition by third party

Needs your opinion :

In case the Company is promoted by Directors and the shareholders do not subscribe to shares. Then can without subscription of the Signatory, the right to subscribe the shares be transferred, i.e. any third party purchase/acquire/transfer shares without the same being subscribed.
