Foreign company sued in india

Hi, we are NRI and we have a small corporation firm in Canada. We do outsourcing of work.

one of the indian company has sent us legal notice for fraud from india which had contract with us. Their contract was cancelled from parent client dude to non performance.

Q1. do we need to respond to legal notice, as we are canadian company and they are not filing case in canada.

Q2. if we do not go to court in india what will be legal consequences?

Q3. our compnay is in canada, does indian ruling or law apply to us?

Our business is small and we cant afford lawyers in canada.

Best advice by Learned Adv. PS Dhingra terms and conditions of the agreement need to be seen however see if there is any Arbitration clause in our Agreement it may give a temporary relief
