Not clearing a debt is illegal, not an offence.

In Criminal conspiracy , mere agreement is considered as a crime. No overt act is necessary except when the obiect is the commission of an illegal act not amounting to an offence . Now my doubt is what is this illegal act not amounting to an offence ??
