To Draft a Exclusive Distributor Agreement
The information on hand is
1. The Document is an Agreement between two Nationals (1) INDIA (2) TURKISH
2. The purpose is to establish Rights and Liabilities of Distributor with the Supplier.
3. The Supplier being a Turk (Citizen of Turkish) is the owner of a Marble stone Quarry in Turkish and is interested to appoint an Exclusive Distributor for territory of INDIA for Selling, Marketing and establishing his products (Rough Marble Blocks, Travertine Blocks, Slabs and Tiles) in INDIA.
4. The Distributor is an Indian governed by the laws of INDIA doing business in the field of selling granite stones in INDIA also exporting the same to various countries around the world.
5. The distributor is interested to enter into an agreement for an initial period of (3) Three years having exclusive rights over the products sent from the supplier to INDIA.
a. That during the agreement period the supplier should not enter into another agreement for selling the products in the territory of INDIA with any third party
b. That any enquiry or query from any third party concerning the territory of INDIA or form any part of the world to distribute in INDIA has to routed through the present Distributor and not independently.
c. Distributor identification should be carried out on the stationer and publicity material of the products.
d. All the sanctions and permissions necessary for full implementation of the said conditions if any from the Governmental agencies has to be obtained prior to entering into this agreement or within (3) months from entering this agreement.
6. The required terms and conditions to protect the Distributor in case of infringement of the terms and conditions under the agreement by the Supplier.
7. In case of breach or dispute which is the enforcing authority to be covered under the agreement.
8. Which court has got the jurisdiction to enforce the agreement?
9. If an arbitration clause is added which should be the seat of Arbitration?
10. How to protect the Rights of the Indian against a foreign National.
11. Which is the Registration Authority of the Document? What is the stamp duty to be paid on the document?
