Effect on surety provided by Director after his removal

My father was director of XYZ Pvt Ltd  and he  provided house as Collateral Security and personal guarantee at the time of sanction of loan by State Finance Corporation (SFC) to Company XYZ Pvt ltd  in 1993.

95% of loan was disbursed and then he was removed from position of director in Oct 1996. My father wrote on 19 Dec 1996  to SFC that his collateral security be returned to him, since he was no longer a director and also that SFC make arrangements to obtain other directors property as Collateral Security to safegauard their loan advanced to the company

The other directors did not even take steps to get the balance 5% loan disbursed and the unit never started operations.

The loan remains unpaid even after 15 years. Now SFC has taken possession of the house provided as collateral Security on 15 June 2011.

Can my father file a suit  challenging the possession since he has been removed and demand that his property be returned.

Unfortunately... No... It is too late... more than 10 years have elapsed...... The mortgage once created shall remain till the dues are discharged .. It seems yr father had not taken effective steps with the company and SFC for redemption of his property and release of his guarantee... The law is very clear.. resignation or removal do not affect the earlier transaction / contract... yr father may have to persue with SFC and company for the same... He may like to file the suit for redemption .. also he may claim damages from the company and other directors.... As afirst step obtain stay pf competent court / High court by filing writ.. engage some good and experience lawyer for the same....

The period of limitation in case of mortgage is 12 years. Since the Company did not repay the loan since 1996 and also there was no transaction of any nature in the loan account and if there is no acknowledgment, the SFC cannot act after the lapse of limitation period.

 

You can file a suit and certainly you would get the success.
