Terms of agreement
1. Scope of work: ABC would be the creative agency working on the ‘newer’ streams, i.e, the lounge, the Square, Door Delivery and the Highway businesses. Apart from being directly responsible for all creative work required for these business streams, ABC would also contribute in the areas of consumer-understanding, product-positioning, brand-building, and the in the articulation of the overall communication strategy.
2. ABC will not buy media, undertake consumer research, or do PR – but can assist the client in all these spheres to the extent possible.
3. ABC will do web advertising (wherein the Net is treated as another ad medium), and can help create a template/’look’ for the website or landing pages. However, ABC will not handle web design or maintenance as such.
4. A monthly retainer of Rs. 1.5 lakhs plus service tax would be payable to ABC, to cover all its services. Other than this, ABC would not charge XYZ anything more either directly or indirectly. ABC will take no commission on any media releases that XYZ may do, nor on print/photography/AV production.
5. Fee bills would be raised at the end of every month, and payable in 30 days from that date.
6. ABC would take the client’s consent on any expense that it may need to incur in creating the communications.
7. Outstation travel costs would be charged to the client, but incurred only after prior consent.
8. This contract is valid for 6 months starting 15th June 2010, at the end of which it could be extended on mutual consent for a given period.
