When both companies are in similar industry operating with same name then it is better to change the name because customer will be confused and it is a cause of infringement.

Which company is old, Is there any difference in geographical area they operate, who has registered the name first under trademark and used are the questions.

So it is an issue of trademark which could turn out to be costly so take your actions accordingly.

The company's name cannot be the same.  But your proprietorship name is some different and the company name is different from the name of proprietorship name.  Companies will be registered under the Companies Act.  so no problem in my view.
