Penalty specified in the contract for delivery of products

Two entities entered into a commercial contract for supply of specified no. of products by one party(licensee) on providing of the raw material by other party(licensor), under the agreement time limit specified for such supply, and time is the essence. penalty for non-supply within time limit also prescribed under the contract. 

 

But the licensor delayed in supply of raw material beyond time limit, thereby licensee also delayed but the delay on the part of the licensee was a bit more.

 

The licensor charged penalty on the basis of the time limit + the delay on his part.

 

 

Query: whether the time still is the essence of the contract or it lost its validity, as there was an extension on account of delay? and therefore whether the penalty can completely waived of?

Whether the licensee can claim extension as his late was because of force majeure?

Agreements can never be one-sided. The time is essence in both the cases. The licensee cannot deliver goods unless timely supply of raw material is made by the licensor. Licensee. The licensee has the right to get extension of time on account of delay in supply of raw material by the licensor.

Rightly advised by expert PS Dhingra,  licencee may be having invoices, bills, email conversation regarding delay of material , tp if any which can be fruitful to prove delay on the part of licensor which should be brought to his notice and once the material reaches the licencee the time consumed to get finished goods the time limit can be calculated and brought to notice of licensor,and then try amicably to come under understanding,,,,  Force majeure isnt applicable here delay cannot be brought under it unless and until your agreement as something to state on it.
