tripartite agreement

In one case my office--builder and Land owner are same.I  want to prepare an agreement between builder/land owner with villa owner/flat owner.

Some of my legal friends warned that usual procedure is prepare a tripartite agreement.other wise some tax/legal implications will arise.But how can i go for tripartite (Land owner -builder-villa owner) agreement in my case? Please try to help me.
