Agreement to sale implies a contract between the seller and buyer of certain article/property on the terms and conditions clearly mentioned therein whereas Assignment deed means a deed which contain the terms and conditions where a party requests another to perform any specific work on its behalf. There is no sale-purchase in the second case.

Assignment Deed is one under which a person assigns his claim to another for a consideration. A jural relationship of assignor and assignee is created. The assignee pays some amount to the assignor and gets assignment of debt in his name against the third party. The assignee steps into the shoes of the assignor. The assignee thereafter makes a claim from the third party on the strength of the powers of assignment bestowed on him under the Assignment Deed.

In mortgage transaction,when mortgagee sells his rights to another person by a deed against consideration is assignment. So Mr. Raoji's opinion is supported.
