consent of parties on an agreement

1.state govt enters into an agreement with private managements of professional colleges regarding various fees etc and the agreement is not published.i.ie only the govt and the management is having a copy of the said agreement.
2. There is a published document/instructions by the govt,wherein the guidelines regarding levying of penalties for discontinuing of studies from such instituitions are stated clearly and they are absolutely contradictory to the one mentioned in the "agreement" as in 1 above.
Now from the legal/student angle, which is legally enforeceable,since the management has not obtained the consent of the student for implementing the terms of the "agreement" by taking his signature?

Agreement is not binding since the students have not consented.
