Conversion of Sole Trading firm to Private Ltd Co

Can anyone pls tell me the procedure to convert a sole trading or partnership firm into a private ltd co. what will be tax implication? what all things will differ in running pvt co rather a sole firm.

i mean to say if nw i hv to pay tax of some Rs.1 lac in sole trading then wat difference it will make if my business changes to pvt co.
my tax struture will change na??
