Transfer of undertaking

Can anyone please tell the procedure/formalities involved in transfer of an undertaking (basically road project) by a company to its wholly owned subsidiary

From the status of a student, only recently, the author seems to have changed her profile to show herself as a company secretary. But it is strange to note that as a company secretary she does not know the procedure/ formalities of transfer of an undertaking by a company to its wholly owned subsidiary.

Anyway, yours being a commercial query, your company can well afford consultancy fee of some other expert, if you are unable to cope with the job of a company secretary.

The students need to concentrate on their training modules and course syllabus. I don't feel proper to pay attenetion on student's academic queries, who prefer to take some easy route than concentrating themselves on course modules and law books.

Section 25FF of the Industrial Disputes Act provides for procedure for transfer of an undertaking as to the service conditions of workmen likely to be transferred. Pl. go through it and then you can clear your doubts
