Can anybody advise/guide me how can a firm registered under the Partnership Act suffix private limited to its name. Ms Esther, either you have not understood the query properly or you are not properly qualified to reply to the queries here, do not mislead and misguide the querists here by answering queries which you do not have any answer yourself. Further the querist has clearly stated he wants to take his friend as partner there is no mention that the querist wants to register a pvt ltd company.

Partnership and Limited Company are two different bodies for conducting the business. If you wish to enter into partnership with your friend, all the paratnership should make a partnership deed (though written deed is not compulsory - it is always advisable). The partnership can be registered or unregistered. An unregistered partnership firm can not sue the third parties in its own name. Private Limited Company is a separate legal entity. You go through the attachment sent by Expert Mr.R.Ramachandran. You can not add Pvt.Ltd. to your firm when you are conducting business without formation of a company.
