Who is entitle to file a criminal case

Mr. A and Mr. B formed a Private Limited Company and started some business. The business closes incurring heavy losses. There was settlement between the two and no dispute remains. After some years, One relative of Mr. B filed a fabricated fake F.I.R. u/s 156(3) which was treated as complaint case and summon and later on NBW were issued against Mr. A and so called associates advocates Mr X and Y. Is it legal that any person can file a criminal complaint?

Without knowing the content of allegations , it is difficult to comment.
If any crime is alleged to have been committed against that person then the case would lie.
If the case lack prima facie maintainability then go for quashing.

You have not mentioned the facts of the complaint so nothing can be commented about the relationship of dissolved firm with theh complainant of this case, however, principally, any person can file a criminal case.
