Appointment of director

(Querist) 28 January 2013 This query is : Resolved
Sir In a public company there are 3 directors including these directors there are seven share holders. But 2 directors are not interested to appoint any other directors even though share holders are interested to appoint other directors. What should be the procedure to follow to appoint other directors? The 2 directors held 29% of the paid up share capital.

Raj Kumar Makkad (Expert) 28 January 2013
voting is the best option in the given matter. The shareholders can give a notice to convene extra AGM on this subject with copy to Registrar of companies and may do as needful.
RAJU O.F., (Expert) 29 January 2013
Take steps to hold extraordinary meeting of all shareholders and if resolution passed for more directors, act upon it.
